These Terms & Conditions (the “Terms”) are a binding agreement between Teamz360 LLC d/b/a BolsterSEO (“BolsterSEO”, “we”, “us”) and the person or entity using the Services (“you”, “Customer”). By creating an account or using the Services, you agree to these Terms.
1) The Services; Accounts
You must be at least 18 years old and capable of forming a binding contract
You are responsible for your account credentials and all activity under your account
You will keep your registration data accurate and up to date
2) Plans, Billing & Taxes
We offer free and paid subscription plans; plan features and limits are described in the app/website
Paid plans are billed in advance on a recurring basis until canceled; by subscribing, you authorize recurring charges to your payment method
Prices and features may change; material changes will be communicated in advance
Fees are exclusive of taxes; you are responsible for applicable taxes, duties, and levies
Unless stated otherwise, fees are non‑refundable except where required by law
3) Ads for Free Plans
Free‑tier accounts may display advertising within the app/website. Paid plans with a “No Ads” feature will not display ads.
4) Acceptable Use
You will not: (a) misuse or interfere with the Services; (b) probe, scan, or test vulnerabilities without authorization; (c) reverse engineer or attempt to access code except as permitted; (d) use the Services to transmit malware, spam, or illegal content; (e) resell, sublicense, or provide the Services to third parties without our consent; (f) use the Services in violation of law or third‑party rights.
5) Customer Data; Privacy
Customer Data means content and data you or your end users submit to the Services
You retain ownership of Customer Data; you grant us a limited, worldwide license to host, process, transmit, and display Customer Data solely to provide and support the Services
Our processing of personal data is described in the Privacy Policy. Where required by law, we will enter into a Data Processing Addendum (DPA) with customers acting as controllers
6) Third‑Party Services
The Services may interoperate with third‑party products (e.g., analytics tools, ad networks). Your use of third‑party services is governed by their terms and privacy policies. We are not responsible for third‑party services.
7) Intellectual Property
The Services, software, documentation, and trademarks are owned by Teamz360 LLC and its licensors. No rights are granted except as expressly stated. You may provide feedback; you grant us a perpetual, irrevocable, royalty‑free license to use feedback for any purpose.
8) Suspension & Termination
We may suspend or terminate access if you materially breach these Terms, pose a security risk, or fail to pay fees. You may cancel at any time via the account settings; cancellation takes effect at the end of the current billing period.
9) Disclaimers
THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON‑INFRINGEMENT.
10) Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PARTY WILL BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL. OUR AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THE SERVICES WILL NOT EXCEED THE AMOUNTS PAID BY YOU TO US FOR THE SERVICES IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY.
11) Indemnification
You will defend, indemnify, and hold harmless Teamz360 LLC from and against third‑party claims arising out of your use of the Services in violation of these Terms or applicable law.
12) Compliance; Export; Sanctions
You will comply with all applicable laws (including data protection, anti‑spam, anti‑corruption, export control, and sanctions laws). You represent that you are not subject to sanctions or located in a restricted jurisdiction.
13) Governing Law; Venue
These Terms are governed by the laws of the State of Wyoming, USA, without regard to conflict‑of‑laws principles. Exclusive jurisdiction and venue lie in the state courts located in Laramie County, Wyoming or the U.S. District Court for the District of Wyoming, and the parties consent to personal jurisdiction there.
14) Changes to the Terms
We may update these Terms from time to time. We will post the updated Terms with a new effective date and, where required, provide notice. Continued use of the Services after changes become effective constitutes acceptance.
